The stockholders of CommScope Holding Company, Inc., a global leader in
infrastructure solutions for communications networks, approved four
proxy proposals today at the company's annual stockholders meeting in
New York City.
CommScope stockholders re-elected Austin A. Adams, Marvin S. Edwards,
Jr., Claudius E. Watts IV and Timothy T. Yates as Class III directors
for terms ending in 2019 and ratified the appointment of Ernst & Young
LLP as the company's independent registered public accounting firm for
the 2016 fiscal year. In addition, stockholders approved, on an advisory
(non-binding) basis, the compensation of CommScope's named executive
officers and approved limits on non-employee director compensation and
material terms of the performance goals included in the CommScope
Holding Company, Inc. Amended and Restated 2013 Long-Term Incentive Plan.
