Item 5.07. Submission of Matters to a Vote of Security Holders.

CommScope Holding Company, Inc. (the “Company”) held its Annual Meeting of Stockholders (the “Meeting”) on May 1, 2015. The matters that were voted upon at the 2015 Annual Meeting, and the number of votes cast for, against or withheld, as well as the number of abstentions and broker non-votes as to each such matter, as applicable, are set forth below.

At the Meeting, the stockholders elected three Class II directors, each for a term expiring at the Company’s 2018 Annual Meeting of Stockholders, and ratified the appointment of Ernst & Young LLP as the Company’s independent registered public accounting firm for 2015. In addition, stockholders approved, on an advisory (non-binding) basis, the compensation of the Company’s named executive officers for 2014.

CommScope Stockholders Approve Proxy Proposals

HICKORY, NC, May 1, 2015—Stockholders of CommScope Holding Company, Inc., a global provider of connectivity and essential infrastructure solutions for wireless, business enterprise and residential broadband networks, approved three proxy proposals today at the company’s annual stockholders meeting in New York City.

CommScope stockholders re-elected Campbell R. Dyer, Stephen C. Gray and L. William Krause as Class II directors for terms ending in 2018 and ratified the appointment of Ernst & Young LLP as the company’s independent registered public accounting firm for the 2015 fiscal year. In addition, stockholders approved, on an advisory (non-binding) basis, the compensation of CommScope’s named executive officers.
